This Agreement is the general terms applicable when users register an account, recharge and make payments, and use the Railway Travel Guide value-added service. Therefore, please read all the contents of this Agreement carefully before registering a Railway Travel Guide account, recharging and making payments, or accepting related services provided by users who purchase the Railway Travel Guide value-added service. Users who purchase the Railway Travel Guide value-added service need to understand and agree to the matters stated in the following terms to complete the recharge and payment and enjoy the value-added services of Railway Travel Guide. Regardless of whether you have actually read it carefully, as long as you check the box to agree or click to confirm this Agreement, or actually accept the relevant value-added services of Railway Travel Guide, it means that you have accepted this Agreement and the service agreements and service rules related to each value-added service published by Railway Travel Guide (including but not limited to Railway Travel Guide services, etc.), and are willing to be bound by them. If a dispute arises, you cannot use the reason of not having read carefully as a defense.

If a dispute arises, you cannot use the reason of not having read carefully as a defense.

I. Definitions

1. Railway Travel Guide Value-Added Service User: Refers to an individual or entity that meets the conditions specified in this Agreement, directly recharges funds into their Railway Travel Guide account or pays service fees to Railway Travel Guide, and uses the Railway Travel Guide value-added service. In this Agreement, it is also referred to as "you" or "Party A" or "user."
2. Value-Added Service: Refers to the membership service provided by Railway Travel Guide to users who purchase the Railway Travel Guide value-added service after recharge and payment (also referred to as "Service" or "Railway Travel Guide Value-Added Service"). The service content includes but is not limited to Railway Travel Guide services, etc.
3. Railway Travel Guide Official Channels: Refers to the channels provided by Railway Travel Guide for users to recharge and make payments, including the online recharge channel on Railway Travel Guide and the channel through which users purchase from Railway Travel Guide and provide valid agreements, invoices, and other legal vouchers to achieve account recharge.

II. Composition, Modification, and Effectiveness of this Agreement

1. The service agreements, service terms, operating rules, review rules, help, and explanations of terms related to value-added services published on the Railway Travel Guide website and user backend (collectively referred to as "Rules" in this Agreement) are valid components of this Agreement. Railway Travel Guide provides value-added services to users in accordance with this Agreement and the relevant rules related to value-added services. This Agreement is a valid component of the "Railway Travel Guide User Agreement." Matters not covered in this Agreement shall be handled in accordance with the "Railway Travel Guide User Agreement."
2. If a user wishes to use or accept the Railway Travel Guide value-added service, please carefully read the terms of this Agreement in advance. Your checking the box to agree or clicking to confirm is deemed as acceptance of the content of this Agreement and agreement to sign this Agreement. If you do not agree to the terms of this Agreement, you should immediately stop using the Railway Travel Guide value-added service.
3. You confirm that Railway Travel Guide has the right to review the qualifications and related content you submit. You understand and agree that if the qualifications you submit are false or your promotional content violates the provisions of national laws and regulations or violates the review rules of Railway Travel Guide, Railway Travel Guide has the right to refuse to provide services to you.
4. Railway Travel Guide has the right to formulate and modify this Agreement and/or related rules from time to time as needed due to updates in national laws and regulations and adjustments to product and service rules, and shall publish them on the website for public notice. If you continue to use the Railway Travel Guide promotion service, it means that you accept the revised agreement and rules. If a dispute arises, the latest Railway Travel Guide value-added service agreement shall prevail.

III. Rights and Obligations of Both Parties

1. Rights and Obligations of Party A

(1) Party A guarantees that it is a legitimate business entity that complies with the laws and regulations of the People's Republic of China and has obtained the legal qualifications to engage in related businesses. Party B has the right to verify the authenticity of its entity qualifications. If Party A refuses Party B's verification or Party B has reason to doubt its authenticity and legality, Party B has the right to refuse to provide services to it.

(2) Party A guarantees to provide qualification materials in accordance with Party B's review rules and guarantees that the copies of qualification certification documents (including but not limited to business licenses, ID cards, tax registration certificates, organization code certificates, special industry operation licenses, brand authorization letters, etc.) signed and/or stamped by it are true copies of the originals, fully consistent with the content and format of the originals, without any additions, deletions, modifications, or other edits; guarantees that the qualification certification documents it provides are true, valid, and legal, and shall not impersonate, steal, forge, or alter them. Otherwise, Party B has the right to terminate the provision of services, and all legal consequences arising therefrom shall be borne solely by Party A.

(3) Party A undertakes that it has full civil capacity and civil conduct capacity to sign and perform this Agreement, and that signing and performing this Agreement does not violate any restrictions of applicable laws binding on it, nor will it infringe upon the legitimate rights and interests of any third party outside this Agreement; Party A has complete and legitimate rights to the products or services it promotes on Railway Travel Guide, as well as behaviors such as recharge payment and transactions; Party A's own transactions and business activities are legal, the purpose of service projects is legal, and the information published will not damage the interests, goodwill, and brand image of Party B and its affiliated companies. Otherwise, Party B has the right to terminate the provision of services and has the right to require Party A to compensate Party B for all losses including goodwill losses caused thereby. Party A agrees that Party B may deduct relevant losses from Party A's recharge balance. If Party B is required by a third party to compensate or is involved in disputes or litigation due to Party A's reasons, Party A shall fully compensate Party B for the losses.

(4) Party A undertakes and guarantees to provide true, legal, and accurate information to Party B, and promptly update contact information such as mobile phone numbers and email addresses based on changes in actual circumstances. If the mobile phone number bound to the account changes or is lost, Party A shall promptly notify Party B and modify the relevant information. Otherwise, any adverse consequences arising therefrom shall be borne by Party A itself.

(5) Party A shall pay service fees to Party B or recharge funds into its account in accordance with the methods agreed upon by both parties or the rules and methods prompted by Railway Travel Guide. When Party A's recharge balance is insufficient to pay the promotion service fees, Party A shall recharge promptly. If Party A's promotional content goes offline or becomes invalid due to failure to recharge promptly, resulting in the termination of the Railway Travel Guide promotion service, Party B shall not bear any responsibility.
